2016 Proxy Season – Europe Guidelines Now Available
Glass Lewis has just released 2016 proxy season guidelines for several European markets:
- United Kingdom
- Continental Europe
Guidelines for additional markets will be released over the next several weeks.
The guidelines are a detailed overview of the key policies Glass Lewis applies when analyzing companies in individual markets. We evaluate these guidelines on an ongoing basis and formally update them annually. Some of the key areas with changes for 2016 are noted below:
- Audit committee performance, authority to appoint auditor and authority to set auditor’s fees
- Director overboarding policy
- Board diversity policy
- Assessing the independence of tenured directors
- Capital Management
- Environmental and social risk oversight
- Board diversity
- Supermajority vote requirements
- Board nominee disclosure
- Vesting period for equity awards
