On a global basis, investors are becoming increasingly vocal, demanding companies address issues related to governance, the environment, compensation and, more broadly, society. Glass Lewis’ Proxy Season Review: Shareholder Proposals 2012 reviews the shareholder proposals put forth in the United States, Canada and Japan during the 2012 proxy season. In this report, we discuss topics such as proposals requesting increased disclosure on political spending (the most frequent proposal put forth at U.S. companies), the rise of compensation-related shareholder proposals in Canada, and the effects of the recent nuclear crisis on shareholder proposals in Japan. Our analysis of trends in investor support and emerging topics in social, environmental, governance and compensation-related shareholder activism is also presented in this review of how investors shaped the course of the last proxy season through their submission of and votes on shareholder proposals.
