Capcom’s 2014 annual general meeting made headlines as shareholders said “No” to the renewal of the Company’s takeover defense plan. With only 47.4% support, the Company was forced to discontinue the plan which had been in place since 2008. Despite last year’s results, it doesn’t look like the Company is backing down, as they will be seeking shareholder approval of the adoption of a new takeover defense plan at the upcoming annual meeting. According to Capcom’s proxy statement, since the 2014 annual general meeting, the Company has “actively promoted engagement” with their shareholders and the new plan boasts major changes from the previous plan. While Capcom is going against the current trend of companies voluntarily abolishing their takeover defense plans it will be interesting to see if their engagement activities and the changes to the plan will be sufficient to win over the shareholders.
